By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.
We reserve the right to modify these Terms at any time. Your continued use of the Services after changes are posted constitutes your acceptance of the modified Terms.
2. Services Description
Onezy provides professional IT consultancy and software development services, including but not limited to:
- Web application development and design
- Mobile application development (iOS and Android)
- Cloud solutions and infrastructure consulting
- IT consultancy and digital transformation services
- SEO and digital marketing services
- UI/UX design and user experience consulting
- Custom software development and integration
Specific service details, deliverables, timelines, and pricing are outlined in individual project agreements or statements of work.
3. User Obligations
When using our Services, you agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Not use the Services for any unlawful or prohibited purpose
- Not interfere with or disrupt the Services or servers
- Not attempt to gain unauthorized access to any part of the Services
- Respect intellectual property rights of Onezy and third parties
- Provide timely feedback and approvals as required for project completion
4. Intellectual Property Rights
4.1 Onezy's Property
All content, features, and functionality of our website and Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Onezy or its licensors and are protected by copyright, trademark, and other intellectual property laws.
4.2 Client-Owned Work Product
Upon full payment for Services, you will own the final deliverables specifically created for you as outlined in the project agreement. This includes:
- Custom code and applications developed specifically for your project
- Custom designs and graphics created for your brand
- Content and documentation created specifically for your project
4.3 Onezy's Retained Rights
Onezy retains ownership of:
- Pre-existing intellectual property and proprietary tools
- Frameworks, libraries, and reusable components
- General knowledge, skills, and experience gained
- The right to use completed projects in our portfolio (with your permission)
5. Payment Terms
5.1 Fees and Billing
Service fees are specified in individual project agreements. Unless otherwise stated:
- A deposit (typically 30-50%) is required before work begins
- Milestone payments are due as specified in the project agreement
- Final payment is due upon project completion and delivery
- All fees are in Indian Rupees (INR) unless otherwise specified
5.2 Late Payments
Late payments may incur interest charges of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less. We reserve the right to suspend Services for accounts with overdue payments.
5.3 Refunds
Refund policies are specified in individual project agreements. Generally, deposits are non-refundable once work has commenced. Refunds for completed work are evaluated on a case-by-case basis.
6. Project Timelines and Delays
We strive to meet all agreed-upon deadlines. However, timelines may be affected by:
- Delays in receiving required materials or feedback from clients
- Scope changes or additional feature requests
- Technical challenges or third-party service issues
- Force majeure events beyond our reasonable control
We will communicate any anticipated delays promptly and work with you to adjust timelines as necessary.
7. Warranties and Disclaimers
7.1 Service Warranty
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. We will correct any defects in our work at no additional charge for a period specified in the project agreement (typically 30-90 days).
7.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for delays, failures, or problems caused by circumstances beyond our reasonable control.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEZY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ONEZY FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of these Terms.
Confidential information does not include information that: (a) is or becomes publicly available through no breach of these Terms, (b) was rightfully in the receiving party's possession before disclosure, or (c) is independently developed without use of the confidential information.
10. Termination
Either party may terminate a project agreement with written notice as specified in the agreement. Upon termination:
- You must pay for all work completed up to the termination date
- We will deliver all completed work product
- Any advance payments for incomplete work may be refunded at our discretion
- Confidentiality obligations continue to apply
We reserve the right to terminate Services immediately if you breach these Terms or engage in fraudulent or illegal activities.
11. Indemnification
You agree to indemnify, defend, and hold harmless Onezy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) content or materials you provide to us.
12. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good faith negotiations.
If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit the dispute to mediation before pursuing litigation or arbitration.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in India.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any project agreements and our Privacy Policy, constitute the entire agreement between you and Onezy regarding the Services.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
